These Terms govern your use of DigiVyapar Pro (the "Service"), operated by {{LEGAL_ENTITY_NAME}} ("we", "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

DigiVyapar Pro is a cloud-based business-management platform (inventory, products, orders, customers, vendors, invoices, payments, expenses, employees, reporting, notifications and workflow tools). Features may change over time.

You must provide accurate information and keep your credentials secure. The person who creates a workspace is its Owner and is responsible for managing users, roles and permissions. You are responsible for all activity under your account.

You retain ownership of the data you put into the Service. You grant us a limited licence to host, process and transmit it solely to provide the Service.

Where you upload personal data about third parties (your customers, vendors or employees), you are the data fiduciary/controller and we act as your processor, processing that data only on your instructions to deliver the Service. You represent and warrant that you have a valid legal basis (such as consent) to collect and upload that data, and that your own privacy notices permit this processing. We process such data in line with our Privacy Policy and applicable law, apply the security measures described there, use the sub-processors listed there, and will delete or return such data on termination as described in Section 8.

We offer a free trial and paid subscription plans. Fees are billed via our payment gateway for the plan and billing cycle you select. Except where required by law or stated in our Refund & Cancellation Policy, fees are non-refundable. You may cancel at any time; cancellation stops future renewals and access continues until the end of the paid period. Non-payment may lead to suspension or termination. Pricing may change with notice.

You agree not to: break the law; upload unlawful, infringing or harmful content; attempt unauthorised access; disrupt or overload the Service; upload malware; or use the Service to defraud others. We may suspend or terminate accounts that violate these Terms.

The Service is a tool and does not provide legal, tax, accounting or compliance advice. You are solely responsible for the correctness of GST and other tax calculations, invoices, filings and regulatory compliance. We do not guarantee that any invoice, report or calculation complies with any particular law; verify independently.

We aim for high availability but do not guarantee uninterrupted or error-free service. You should keep your own independent backups of important data.

We may suspend or terminate the Service for non-payment, suspected fraud, security risk, or breach of these Terms. On termination you may request an export of your data for a reasonable period; after that, we delete or anonymise your personal data per our Privacy Policy, except records we must retain by law.

The Service, software, branding and designs are owned by {{LEGAL_ENTITY_NAME}}. You receive a limited, non-exclusive, non-transferable licence to use the Service. Your business data remains yours.

To the maximum extent permitted by law, we are not liable for indirect, incidental or consequential damages, or for loss of profits, business interruption, data loss, or tax/regulatory penalties. Our total liability is limited to the subscription fees you paid in the 12 months before the claim.

We may update these Terms. Material changes will be posted here with a new "Last updated" date; continued use means acceptance.

These Terms are governed by the laws of India, and the courts of Bengaluru, Karnataka, India have exclusive jurisdiction.
